By selecting "I Agree" then uploading your design image(s), idea(s) and/or comment(s) (collectively "Design") and in consideration of ubWitness.com evaluating your Design for its possible use on clothing and/or any other items sold for profit (collectively "Items"), you agree to the following terms and conditions ("Design Submission Terms and Conditions"):
If your Design is selected for use by ubWitness.com, you acknowledge that you assign to 1011 Web Solutions LLC and its subsidiaries and affiliates (collectively "ubWitness.com") an irrevocable, comprehensive, transferrable, worldwide, perpetual license to your Design for its use on and in connection with the Items. You also grant ubWitness.com the irrevocable, comprehensive, transferable, worldwide, perpetual right to sell your Design online, the right to sell your Design using offline channels, the right to further sublicense your Design and the right to sue for current or past copyright infringement. You agree to grant these assignments and rights to ubWitness.com royalty-free and without any additional compensation other than what is stated in this Design Submission Terms and Conditions.
If your Design is submitted for evaluation or selected for print by ubWitness.com, we may use your Design in any manner on or in connection with the Items, including but not limited to reproducing the Design on the Items, selling Items bearing the Design, changing or reworking the Design by making color or size changes, making derivative works of the Design, using the Design on the ubWitness.com website and on any online or offline promotional material.
You may use or continue to use the Design for any other purposes, except those described below. You may sell or allow others to sell the Design on any Items, as described above, either online or offline under the following conditions. You agree and grant ubWitness.com first rights of use should any manner of dispute or disagreement arise regarding the commercial use of the Design (or any derivatives of the Design) for any purpose. You agree not to sell or allow others to sell the Design (or any derivatives of the Design) online at a total consumer price less than is currently available on ubWitness.com. You agree not to use the ubWitness.com online promotion and marketing tools, including but not limited to social media, blogs, forums, etc., to promote any other commercial or non-commercial use of the Design (or any derivatives of the Design). You further agree not to use the ubWitness.com online promotion and marketing tools to promote the products and services of any company that operates in competition with ubWitness.com.
There is no limit to the number of designs you may have concurrently in the evaluation and/or production stages.
You acknowledge that the Design you are assigning to ubWitness.com is your own original work, has not been previously published, and does not contain any trademarks, logos, copyrighted material, or any other intellectual property belonging to any third party, or any material, which ubWitness.com in its sole discretion, deems to be profane, offensive or not aligned with the Christian faith.
You acknowledge that ubWitness.com reserves the right to decline submission or selection of a Design for any reason, including poor design. General guidelines for Designs are given in the design submission kit, which are subject to change at any time.
If your Design is selected for use by ubWitness.com, you will receive 10% of the profits (retail price of Item(s) less Item(s) production costs) generated by your Design for as long as we sell the Design. In addition, you will receive two free shirts of your Design and one free shirt from another designer, issued as an ubWitness.com credit. ubWitness.com reserves the exclusive, sole rights and you acknowledge our exclusive, sole rights to set, create, change or modify in any way all retail or sales pricing for any items sold on ubWitness.com; to select, use or change product vendors at any time and to otherwise control production costs as we so determine.
If you choose to use the Help me Obi-Wan idea submission feature instead of creating your own electronic image your Design and submitting it through the normal Design submission process, then if your Design is selected for use by ubWitness.com you will receive 5%, instead of 10%, of the profits (retail price of Item(s) less Item(s) production costs) generated by your Design for as long as we sell the Design. In addition, you will receive two free shirts of your Design and one free shirt from another designer, issued as an ubWitness.com credit. ubWitness.com reserves the exclusive, sole rights and you acknowledge our exclusive, sole rights to set, create, change or modify in any way all retail or sales pricing for any items sold on ubWitness.com; to select, use or change product vendors at any time and to otherwise control production costs as we so determine. You also acknowledge we do not guarantee and are under no obligations to give any consideration or perform any actions whatsoever with Designs and/or ideas submitted in this manner.
Additionally, regardless the manner of submission, if your Design is selected for use by ubWitness.com, you will be given the opportunity to select one local ministry to help support through sales of your Design. The selected local ministry will receive 10% of all sales (Item(s) retail price divided by 10) generated by your Design for as long as we sell the Design. If your local ministry of choice is not listed on ubWitness.com then you may submit it for approval. You acknowledge ubWitness.com reserves the right to deny approval of any submitted local ministry and does not guarantee submission will cause approval. You also acknowledge that any selected local ministry reserves the right to refuse payment from ubWitness.com. If you do not specifically select a local ministry or your selected local ministry refuses payment then ubWitness.com will choose another on your behalf.
Payment to you and the local ministry will be based on the terms in effect when your Design is selected. You alone will be responsible for the payment of any tax resulting from receiving payment from ubWitness.com. The selected local ministry will be solely responsible for the payment of any tax resulting from receiving payment from ubWitness.com. Payments will be made by check or PayPal approximately once a month with a $100 minimum.
Participants, who in the opinion of ubWitness.com, do not comply with these Design Submission Terms and Conditions, or for any other reason at ubWitness.com's sole discretion, can at any time be excluded from consideration without notice.
The decisions of ubWitness.com are final and binding.
